Terms & Conditions

These Terms & Conditions (“Terms”) govern the provision of services by Focally (“we”, “us”, or “our”) to the client (“you” or “your”). By engaging our services, you agree to these Terms.
1. Services Provided
- We provide local search optimisation services, which may include Local SEO, Local AEO (Answer Engine Optimisation), Local GEO targeting, and LLM (Large Language Model) optimisation.
- Our services are delivered on a strategic basis, not as a fixed checklist of deliverables. The work undertaken each month will be based on what we determine to be the most effective actions for improving your local visibility and performance.
2. Exclusivity
- We operate on a one business type per location basis.
- Exclusivity is typically defined within a local radius (around 3 miles), but may be adjusted depending on local density, competition, and business type.
- If we agree to work with you, we will not provide the same services to a direct competitor within your exclusivity radius.
3. Fees & Payment
- Our services are provided on a monthly retainer basis at the agreed package price (£295, £495, or £795 per month).
- Fees are payable monthly in advance via bank transfer.
- Late payments may result in suspension of services until payment is received.
4. Term & Cancellation
- Services are provided on a rolling monthly basis, with no long-term contract.
- You may cancel at any time by providing 30 days’ written notice before your next billing cycle.
- Work already completed and fees already paid are non-refundable.
5. Client Responsibilities
To enable us to deliver the services effectively, you agree to:
- Provide timely and accurate access to any platforms, logins, or information we require (including Google Business Profile, website CMS, analytics, and hosting where applicable).
- Ensure that all business information provided (such as name, address, phone number, services, opening hours) is accurate, complete, and kept up to date.
- Notify us promptly of any changes to your business operations that may impact local search visibility (e.g. changes in location, contact details, services offered, or opening hours).
- Take responsibility for review generation, such as asking your customers to leave feedback. While we provide strategies and tools, the final request for reviews must come from your business.
- Understand that certain outcomes depend on factors outside of our control (including customer behaviour, competitor activity, and third-party platform policies).
- Cooperate reasonably with us and act in good faith to support the achievement of your agreed objectives.
6. No Guarantees
- While we use proven strategies to improve visibility and performance, we cannot guarantee specific results (such as rankings, traffic volumes, or revenue).
- Search engine and AI platform algorithms are outside of our control and subject to change.
7. Limitation of Liability
- We will provide our services with reasonable skill and care. However, you acknowledge that outcomes in search engines, maps, AI platforms, and review systems are outside of our direct control.
- We are not liable for:
- Changes to search engine or AI algorithms that may affect your visibility or rankings.
- Removal, suspension, or alteration of your business profile, reviews, or listings by third-party platforms.
- Any indirect, incidental, or consequential damages, including (but not limited to) lost profits, loss of customers, or reputational harm.
- Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim.
8. Force Majeure
We will not be liable for any delay or failure in performing our obligations under these Terms if such delay or failure results from events, circumstances, or causes beyond our reasonable control. These may include (but are not limited to):
- Internet or hosting outages
- Cybersecurity incidents or data breaches affecting third-party platforms
- Changes or disruptions to third-party services (such as Google, OpenAI, or other AI/search platforms)
- Acts of God, fire, flood, epidemic, or natural disaster
- Government restrictions, strikes, or labour disputes
In such cases, we will take reasonable steps to mitigate the impact, but you acknowledge that performance may be temporarily suspended without liability.
9. Intellectual Property
- Any materials, reports, or strategies we provide remain our intellectual property unless otherwise agreed in writing.
- You are granted a non-exclusive, non-transferable licence to use deliverables created for your business.
10. Confidentiality
- Both parties agree to keep any confidential information received from the other party secure and not disclose it to third parties without prior written consent.
11. Governing Law
- These Terms are governed by and construed in accordance with the laws of England and Wales.
- Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Disclaimer
- Focally is an independent consultancy. We are not affiliated with, endorsed by, or partnered with Google, OpenAI, Microsoft, Anthropic, or any other third-party search or AI platform mentioned in our materials.
- References to platforms such as Google, Google Maps, Siri, Alexa, ChatGPT, Gemini, Copilot, or Claude are for descriptive purposes only.
- While we optimise your business information to be more accessible to these platforms, we have no control over their algorithms or recommendation systems.
